These Terms of Use (“Terms”) govern the purchase, access, and use of products, services, solutions, tools, guidelines, documents and other content (collectively, the “Materials”) provided by Policy& Global Portal (“Policy&,” “we,” “us,” or “our”) through our website, store, and any other delivery channels (collectively, the “Services”). By purchasing, accessing, downloading, or using any Services, you (“Client” or “you”) agree to be bound by these Terms. If you do not agree, do not access or use the Services.
Definitions & Interpretation
“Order” means any purchase, checkout page, or order form referencing these Terms. “Licensed Entity” means the single legal entity identified in the Order. “Update Window” means any period during which updates are included if expressly stated in the Order. “Materials” means the templates, policies, frameworks, toolkits, documents, and other content you obtain from us. “Services” means our websites/portals, storefront, downloads, delivery mechanisms, and related support. Business Use Only. You represent and warrant that you are acquiring the Services for business purposes only and not as a consumer. Headings are for convenience only and do not affect interpretation.
1. Advisory Nature & No Legal Reliance
1.1 Advisory Only. All Materials are advisory in nature and intended solely for general informational purposes. 1.2 No Legal/Assurance Use. Materials do not constitute legal, regulatory, compliance, audit, assurance, tax, or accounting advice and must not be relied upon as such. 1.3 Prohibited Legal Uses. Materials are not designed or intended to be used: (a) as legally binding documents; (b) as evidence in court or arbitration; (c) for certification or formal submissions to regulators; or (d) as a substitute for professional legal, compliance, or audit services. 1.4 Independent Advice. You agree to obtain independent professional advice (including legal and regulatory) before implementing any Materials. 1.5 Compliance Responsibility. You are solely responsible for verifying compliance with all applicable laws, rules, regulations, and mandatory requirements. Policy& assumes no duty of care to you or third parties.
2. License & Usage Restrictions
2.1 Grant. Policy& grants a non-exclusive, non-transferable, non-sublicensable, revocable license to use purchased Materials internally within the Licensed Entity. 2.2 Single-Entity/Internal Use. Each license covers one company only. Use by affiliates, subsidiaries, parent companies, contractors, consultants, or managed service providers requires separate licenses. 2.3 Prohibited Uses. You must not: (a) resell, sub-license, gift, lease, publish, or distribute Materials; (b) use Materials for commercial resale; (c) allow third parties (e.g., consultants, agencies, freelancers/marketplaces) to reuse Materials for their clients; (d) imply Policy& sponsorship or endorsement; (e) reverse-engineer or create derivative works for resale; (f) upload Materials to shared platforms beyond the Licensed Entity; (g) share licenses across multiple entities. 2.4 Enforcement. Breach may result in immediate termination, access suspension, injunctive relief, damages, and recovery of enforcement costs.
3. Prohibited Industries, Entities & Purposes
3.1 Industries. No use in connection with: pornography/adult entertainment; illegal gambling/betting; tobacco/vaping; weapons/illicit arms trade; narcotics/illegal drug trade; or any unlawful activity. 3.2 Sanctions/Terrorism & International Justice. No use by or for any person, state, country, company, organization, or entity that is: (A) listed on the UAE Central Bank Local Terrorist List, the UNSC Consolidated List, or UAE Cabinet Resolution No. (74)/2020 sanctions lists; or (B) listed by the European Union, U.S. OFAC, or UK HM Treasury; or (C) the subject of arrest warrants, judgments, or public notices by the International Criminal Court (ICC) or the International Court of Justice (ICJ) in connection with terrorism, war crimes, or related prohibitions; or (D) involved in terrorism, terrorist financing, organized crime, or other criminal activity. 3.3 Jurisdictions. No use in comprehensively sanctioned countries. 3.4 Material Breach. Contravention voids all rights immediately.
4. Intellectual Property & Branding
4.1 Ownership. All IP rights remain Policy&’s (or its licensors’) exclusive property. No ownership transfers with purchase. 4.2 Permitted Editing/Rebrand. You may rebrand and edit Materials for internal use within the Licensed Entity (including removing Policy& branding). You may not publicly use Policy& names/logos or imply endorsement without written consent, and you may not sell any derivative. 4.3 No Derivative Resale. Creating derivatives for resale or public distribution is strictly prohibited unless agreed in writing.
5. Fees, Billing & Payments
5.1 Fees. Payable in full prior to delivery unless otherwise agreed in writing. 5.2 Tax Compliance. Client acknowledges Policy& operates under UAE Cabinet Decision No. (52) of 2017 (as amended) in relation to VAT and e-commerce. Should VAT or similar indirect taxes apply to digital services, Policy& reserves the right to add applicable taxes with 30 days’ notice, and any such taxes will be displayed at checkout for future Orders. 5.3 Currency. Charges are in the checkout currency; bank/FX fees are your responsibility. 5.4 No Set-Off; No Deductions. All amounts are payable in full and without set-off, deduction, or counterclaim. If any withholding or deduction is required by law, you will gross-up the payment so Policy& receives the full amount due. 5.5 Order Precedence. These Terms prevail over conflicting Client terms unless a mutually signed agreement states otherwise.
6. Warranties & Disclaimers
6.1 As-Is. All Services are provided “as is” and “as available.” 6.2 No Warranties. Policy& disclaims all warranties (express/implied), including merchantability, fitness for purpose, non-infringement, accuracy, or reliability, to the maximum extent permitted by law. 6.3 Industry Practice. Digital content is non-returnable post-purchase/download. 6.4 No Outcome Guarantees. Results are not guaranteed.
7. Refunds, Access Issues & Changes
7.1 Refunds. Permitted only: (a) if and to the extent applicable, under UAE Consumer Protection Law No. 15/2020 for defects that fundamentally prevent functional use of the Materials; or (b) if technical failure prevents access. All other sales are final. 7.2 Technical Issues. We will make reasonable efforts to resolve access issues. 7.3 No Trials. Not offered. 7.4 Modifications. Policy& may modify/discontinue Materials at any time.
8. Limitation of Liability
8.1 Excluded Damages. To the maximum extent permitted by law, no liability for indirect, consequential, punitive, or exemplary damages, lost profits, revenue, data loss, or regulatory fines—whether in contract, tort, or otherwise—even if advised of the possibility. 8.2 Aggregate Cap. Liability is capped at the lesser of: (a) fees paid in the 12 months preceding the claim; or (b) AED 183,750 (USD 50,000 equivalent), except to the extent such limitation is not permitted by applicable law. 8.3 Third Parties. No liability for third-party systems/platforms. 8.4 Time Limit. Claims must be brought within 12 months.
9. Indemnification by Client
You indemnify, defend, and hold harmless Policy& and its personnel from any claims, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Services; (b) your breach of these Terms; or (c) your violation of laws or third-party rights.
10. Confidentiality
10.1 Obligation. Protect non-public Materials; limit access to authorized personnel. 10.2 Exceptions. Does not cover information that is public, lawfully received from a third party, or independently developed.
11. Data Protection
11.1 Your Compliance. You are solely responsible for compliance with data protection laws. 11.2 Our Processing. Governed by our Privacy Policy. 11.3 UAE PDP Law. Both parties will comply with UAE Federal Decree-Law No. 45/2021 (Personal Data Protection). Client warrants compliance with the PDP Law including: (a) obtaining data subject consents; (b) maintaining processing records; and (c) conducting Data Protection Impact Assessments (DPIAs) where required.
12. Export Controls, Sanctions & Anti-Bribery
12.1 Export/Sanctions. Comply with all applicable export/trade controls; do not export, re-export, transfer, or provide Materials contrary to such laws. 12.2 Anti-Bribery/AML. Comply with UAE Federal Law No. (31)/2021 and applicable AML/CFT regulations; do not offer or provide any improper advantage in connection with the Services.
13. Term, Suspension & Termination
13.1 Term. Effective from first access/purchase until terminated. 13.2 Suspension/Termination. Immediate for breach (Sections 2–3, 12), non-payment, or unlawful use. 13.3 Effect. Upon termination, cease all use and destroy Materials; certify deletion on request. 13.4 Survival. Sections 1, 2.3–2.4, 3–5, 6–9, 10–16, 18–20 survive.
14. Force Majeure
Not liable for delays due to acts of God, natural disasters, war, terrorism, civil unrest, pandemics, third-party network failures, sandstorms, or governmental restrictions.
15. Notices
15.1 Method. Legal notices via email to Contact@policyand.com and to your email on file; we may also post notices on our website. 15.2 Deemed Receipt. Email notices are effective on the business day sent (absent bounce-back); posted notices upon posting.
16. Governing Law & Dispute Resolution
16.1 Governing Law. UAE Federal Laws govern, without regard to conflict-of-laws principles; Dubai Law applies where federal law is silent. The UN Convention on CISG is excluded. 16.2 Arbitration. Disputes resolved under DIAC Arbitration Rules (2022). Seat: Dubai. Language: English. Award is final and binding. 16.3 Injunctive Relief. Policy& may seek interim or injunctive relief in competent courts. 16.4 Confidentiality. Arbitration proceedings are confidential except where disclosure is required by UAE Federal Law No. 6/2018 on Arbitration or Dubai Court orders.
17. Publicity; No Third-Party Rights
17.1 Publicity. Do not use Policy& branding publicly without consent. 17.2 No Third-Party Beneficiaries. No third party has enforcement rights.
18. Assignment
You may not assign without Policy&’s written consent. Policy& may assign in connection with a merger, reorganization, corporate transaction, or sale of assets.
19. Changes to Terms
Updates are effective upon posting. Continued use constitutes acceptance.
20. Miscellaneous
20.1 Entire Agreement. These Terms (with Orders and our Privacy Policy) constitute the entire agreement. 20.2 Severability. If any provision is held invalid or unenforceable, it will be modified to the minimum extent necessary to be enforceable, and the remainder will continue in full force. 20.3 No Waiver. Delay or omission in enforcement is not a waiver. 20.4 Electronic Communications. Electronic signatures/records are valid under UAE Federal Decree-Law No. 46/2021 (Electronic Transactions and Trust Services). 20.5 Headings & Language. Headings are for convenience only. The English version controls.
Reservation of Rights — Changes to Terms. Policy& reserves the right to change, amend, or update these Terms from time to time in its discretion. Any changes are effective upon posting on the Services (or as otherwise stated). Your continued use of the Services after such posting constitutes acceptance of the revised Terms.
